APPENDIX A: DATA PROCESSING AGREEMENT (“THE AGREEMENT”)

TABLE OF CONTENTS

1 SCOPE OF THE AGREEMENT

1.1The conditions in this Annex A to “Conditions for the use of Conference Manager™” version 1.8 of 25 September 2018 (“the Conditions”) constitute the data processing agreement that applies to Conference Manager A/S” processing of personal data when using Conference Manager ™
1.2Conference Manager A/S is a data processor for Conference Organizer, as Conference Organizer has purchased a license for the Conference Manager™ system from Conference Manager A/S and Conference Manager A/S in connection with this takes care of the data processing tasks described in Appendix 1 for Conference Organizer.
1.3The personal data processed by Conference Manager A/S includes the purposes of the processing, the categories of personal data and the categories of registered persons listed in Appendix 1.
1.4“Personal data” means any type of information about an identified or identifiable natural person, cf. Article 4(1) of Regulation (EU) 2016/679 of 27 April 2016 (“the personal data regulation”). If, as part of the fulfillment of the Agreement, confidential information other than personal data is processed, e.g. information which pursuant to the Financial Business Act is considered confidential, any reference to “personal information” also includes the other confidential information.
1.5Definitions used in the Agreement must be understood in the same way as in the Conditions.

2 PROCESSING OF PERSONAL INFORMATION

2.1Instructions: Conference Manager A/S is instructed to only process the personal data for the purpose of carrying out the data processing tasks set out in Appendix 1.
Conference Manager A/S may not process or use the personal data for purposes other than those specified in the instructions, including transferring the personal data to a third country or an international organization, unless Conference Manager A/S is obliged to do so under EU law or the legislation of a member state which Conference Manager A/S is subject.
If applicable, Conference Manager A/S must notify the Conference Organizer in writing of this legal obligation before the processing begins, unless relevant legislation prohibits such notification based on important societal interests.
2.2If the Conference Organizer in the instructions in Appendix 1 or specifically has given permission for a transfer of personal data to a third country or to international organisations, it is the responsibility of Conference Manager A/S to ensure that there is a legal basis for the transfer, e.g. The EU Commission’s standard contracts for the transfer of personal data to third countries.
2.3If Conference Manager A/S deems that an instruction from the Conference Organizer is in violation of the Personal Data Regulation or data protection provisions in other EU law or in the legislation of a Member State, Conference Manager A/S must immediately, in writing, inform the Conference Organizer of this.
2.4If Conference Manager A/S is subject to the legislation of a third country, Conference Manager A/S declares at the conclusion of the Agreement that Conference Manager A/S is not aware that the aforementioned legislation prevents Conference Manager A/S from complying with the Agreement, and that Conference Manager A/S will immediately inform the Conference Organizer in writing if Conference Manager A/S becomes aware that such an obstacle is present or will occur.

3 REQUIREMENTS FOR CONFERENCE MANAGER A/S

3.1Conference Manager A/S must ensure that the persons who are authorized to process the personal data are subject to unconditional silence regarding the information that they may come into contact with in their work for the Conference Organizer.
3.2

Conference Manager A/S must take the necessary technical and organizational security measures against the processing of personal data

(i)accidentally or illegally destroyed, lost or degraded,
(ii)comes to the knowledge of unauthorized persons or is misused, or
(iii)otherwise processed in violation of legislation, including the Personal Data Regulation.
3.3Conference Manager A/S must also comply with the special requirements for security measures that apply to Conference Organizers, cf. Appendix 1, as well as comply with the requirements for security measures that directly obligate Conference Manager A/S, including the requirements for security measures in the country where the Conference Manager A/S is established, or in the country where the data processing takes place.
3.4

The determination of the necessary technical and organizational security measures must take into account

(i)the current technical level,
(ii)the costs of the implementation as well
(iii)the nature, extent, context and purpose of the processing as well as the risks of varying probability and seriousness to the rights and freedoms of natural persons.
3.5Conference Manager A/S must, at the Conference Organizer’s request, provide the Conference Organizer with all necessary information so that the Conference Organizer can ensure that the necessary technical and organizational security measures have been taken.
3.6In addition, the conference organizer has the right, at its own expense, to appoint an independent expert who must have access to Conference Manager A/S” physical facilities for processing personal data and receive the necessary information to carry out the investigation of whether Conference Manager A/S complies its obligations under the Agreement. The independent expert cannot gain access to information relating to other Conference Manager A/S” Customers.
The expert must, at Conference Manager A/S’s request, sign a customary confidentiality declaration and treat any information obtained from or received directly from Conference Manager A/S as confidential, and may only share the information with the Conference Organizer. The conference organizer may not pass on the information or use the information for purposes other than assessing the extent to which Conference Manager A/S has taken the necessary technical and organizational security measures.
3.7Conference Manager A/S must provide the authorities and the Conference Organiser’s external advisers, including auditors, with all requested information in relation to the performance of the data processing task, to the extent that the information is necessary for their performance of the task pursuant to EU law or the legislation of a Member State.
3.8Conference Manager A/S must grant authorities who, according to EU law or the legislation of a Member State, have access to the facilities of the Conference Organizer and the Conference Organizer’s suppliers, or representatives acting on behalf of the authorities, access to Conference Manager A/S” physical facilities on presentation of proper identification.
3.9

Conference Manager A/S must, without undue delay, after becoming aware of this, inform the Conference Organizer in writing of

(i)any request from an authority for the disclosure of personal data covered by the Agreement, unless information by the Conference Organizer is prohibited under EU law or the legislation of a Member State,
(ii)any suspicion of, or finding of, (a) breach of security leading to accidental or unlawful destruction, loss, alteration, unauthorized disclosure of or access to personal data transmitted, stored or otherwise processed by Conference Manager A/ S under the Agreement, or (b) any other failure to comply with Conference Manager A/S” obligations under clauses 3.2 and 3.3 or
(iii)any request for insight into the personal data received directly from the data subject or from a third party.
3.10Conference Manager A/S must assist the Conference Organizer with the handling of any request from a person registered under Chapter III of the Personal Data Regulation, including requests for insight, correction, blocking or deletion. Conference Manager A/S must also implement appropriate technical and organizational measures to assist the Conference Organizer in fulfilling the Conference Organizer’s obligation to respond to such requests.
3.11Conference Manager A/S must assist the Conference Organizer in complying with the other obligations that may fall on the Conference Organizer under EU law or the legislation of a member state where Conference Manager A/S’ assistance is required, as well as where Conference Manager A/S” assistance is necessary for the Conference Organizer to comply with its obligations. This includes, among other things, but is not limited to, upon request, providing the Conference Organizer with all necessary information about an incident. This includes, among other things, but is not limited to, upon request, providing the Conference Organizer with all necessary information about an incident covered by point 3.9 (ii) as well as all necessary information for use in an impact analysis pursuant to Articles 35-36 of the Personal Data Regulation.
3.12In Appendix 1, Conference Manager A/S has provided the physical location of servers, service centers, etc., which are included in the execution of the data processing. Conference Manager A/S undertakes to inform the Conference Organizer in writing prior to changes to the physical location. This does not require a formal amendment to Appendix 1; prior written notice via post or email is sufficient.
3.13Point is empty.
3.14At Conference Manager A/S” or its sub-processors, assistance with audits, handling of requests from registered users, provision of information to authorities, etc. after this point 3, Conference Manager A/S is entitled to demand payment for time spent according to the hourly rate applicable at any time.

4 REQUIREMENTS FOR CONFERENCE ORGANIZERS

4.1The conference organizer is obliged to ensure that prior to each disclosure/transfer of information about a conference participant, speaker or other person, including when entering or otherwise publishing such information in Conference Manager™, the necessary authority for the collection, disclosure and processing is secured of the information, if such information is referred to in the Personal Data Regulation.
4.2This duty also applies in relation to information that a Conference Participant, Lecturer or other person gets access to enter or otherwise make available in Conference Manager™ via a login provided by the Conference Organiser.
4.3Conference Manager™ stores the information/data that is entered or otherwise made available in Conference Manager™ in relation to the conference/event, in the period leading up to the holding of the conference/event and in the period agreed upon, cf. Clause 11 of the Terms and Conditions .
4.4At the end of the agreed retention period after the conference/event has been held, access to Conference Manager™ in relation to this conference/event will be automatically and immediately deleted without further notice, and the information/data that may have been entered or otherwise made available in Conference Manager™ by the Conference Organizer himself or by others in relation to the conference/event will be lost, as they will be automatically deleted without the possibility of re-establishment. It is the Conference Organizer’s own responsibility to remove information that it does not want to lose from Conference Manager™ before the end of the storage period.
4.5If the event is cancelled, all stored information/data relating to the event will be deleted without further notice. Information/data can only be read from Conference Manager™, to the extent that reports and the like are made available in the Conference Manager™ application.

5 SUB-DATA PROCESSORS

5.1Conference Manager A/S must use a sub-data processor. At the time of entering into the Agreement, Conference Manager A/S uses the sub-processors listed in Appendix 2. Conference Manager A/S must notify the Conference Organizer in writing of any planned changes regarding the addition or replacement of sub-processors before use begins. The conference organizer has the right to refuse the use of a sub-data processor without reason. Upon termination of the use of a sub-data processor, Conference Manager A/S must notify the Conference Organizer in writing.
5.2Before using a sub-data processor, Conference Manager A/S must enter into a written agreement with the sub-data processor, in which the sub-data processor is at least imposed the same obligations that Conference Manager A/S has assumed in the Agreement, including the duty to implement appropriate technical and organizational measures to ensuring that the processing meets the requirements of the Personal Data Regulation.
5.3The conference organizer has the right to be provided with a copy of Conference Manager A/S” agreement with a sub-data processor, as far as provisions in said agreement which relate to data protection obligations are concerned.
Conference Manager A/S is liable to the Conference Organizer for the sub-processor’s fulfillment of its data protection obligations. The fact that the Conference Organizer has given consent to Conference Manager A/S’ entering into an agreement with a sub-data processor is without prejudice to Conference Manager A/S’ obligation to comply with the Agreement.

6 CONFIDENTIALITY

6.1Conference Manager A/S must keep personal data confidential.
6.2If Conference Manager A/S is a legal person, the provisions of the Agreement apply to any of Conference Manager A/S” employees, and Conference Manager A/S guarantees that the employees comply with the Agreement.
6.3Conference Manager A/S may not convey the personal data to anyone or take a copy of the personal data, unless this is absolutely necessary for the performance of Conference Manager A/S” obligations towards the Conference Organizer pursuant to the Agreement and provided that the person to whom the personal data is entrusted , is aware of the confidential nature of the information and has agreed to keep the personal data confidential in accordance with the Agreement.
6.4Conference Manager A/S must limit access to the personal data to those employees for whom it is necessary to have access to personal data in order to fulfill Conference Manager A/S” obligations towards the Conference Organizer.
6.5Conference Manager A/S” obligations according to this point 6 remain without time limit, and regardless of whether the cooperation of the Parties may otherwise have ended.
6.6The conference organizer must treat confidential information received from Conference Manager A/S confidentially and must not unjustifiably use or pass on the confidential information.

7 AMENDMENTS AND ASSIGNMENTS

7.1The parties can agree to change the Agreement at any time. Changes must be in writing. To the extent that changes to the Agreement result in additional obligations for Conference Manager A/S, Conference Manager A/S is entitled to demand payment for this in accordance with the hourly rate applicable at any time.
7.2Conference Manager A/S may not assign its rights and obligations under the Agreement without the Conference Organizer’s prior written consent.

8 DURATION AND TERMINATION OF THE AGREEMENT

8.1The agreement enters into force upon the Conference Organizer’s online approval of the Terms and Conditions and is valid until it is terminated in accordance with point 16 of the Terms and Conditions.
8.2Regardless of the Agreement’s formal agreement period, the Agreement must continue to apply as long as Conference Manager A/S processes the personal data for which the Conference Organizer is the data controller.
8.3In the event of termination of the Agreement, regardless of the legal basis for this, Conference Manager A/S must provide the necessary transition services to the Conference Organizer. Conference Manager A/S is obliged to cooperate loyally and as soon as possible so that the data processing is transferred to another supplier or returned to the Conference Organiser. Conference Manager A/S is entitled to demand payment for time spent in connection with this in accordance with the hourly rate applicable at any time.
8.4Conference Manager A/S must immediately transfer or delete personal data that Conference Manager A/S processes on behalf of the Conference Organizer at the request of the Conference Organizer, unless EU law or the legislation of a Member State prescribes the storage of the personal data. Conference Manager A/S is entitled to demand payment for time spent in connection with this in accordance with the hourly rate applicable at any time.

9 PRIORITY

9.1In the event of a discrepancy between the provisions of the Agreement and the provisions of other written or oral agreements entered into between the Parties, the provisions of the Agreement shall take precedence.
However, the provisions in point 3 do not apply to the extent that stricter obligations have been set for Conference Manager A/S in another agreement between the Partners. In addition, the Agreement does not apply to the extent that stricter obligations are set for Conference Manager A/S and/or sub-data processors when using the Commission’s standard contracts for the transfer of personal data to third countries.

10 APPENDIX 1

This Appendix constitutes the Conference Organizer’s instructions to Conference Manager A/S in connection with Conference Manager A/S” data processing for the Conference Organizer and is an integral part of the Agreement.

1 BETINGELSER OG ACCEPT

I dette dokument er angivet de betingelser, der gælder for anvendelse af “Conference Manager™” (i det følgende benævnt “Betingelserne”).

Conference Manager™ er et system udarbejdet af Conference Manager A/S. Nærmere oplysninger om Conference Manager A/S og kontaktinformation findes på www.conferencemanager.dk.

Formålet med Conference Manager™ er at lette planlægning, afholdelse og opfølgning på møder, kurser, konferencer og andre arrangementer.

For at få adgang til at benytte Conference Manager™ er det et krav, at Konferencearrangøren forudgående har accepteret Betingelserne. Betingelserne beskriver de muligheder og begrænsninger, som Conference Manager™ tilbyder, og som gælder for Konferencearrangørens brug af Conference Manager™.

Ved at acceptere Betingelserne accepterer Konferencearrangøren på egne og på vegne af Konferenceafholderen Betingelsernes fulde udstrækning og bekræfter samtidig, at konferencearrangøren og Konferenceafholderen vil overholde Betingelserne og kun benytte Conference Manager™ som beskrevet heri. Betingelserne er en aftale mellem Konferenceafholderen, Konferencearrangøren og Conference Manager A/S om brugen af Conference Manager™.

Konferencearrangøren accepterer Betingelserne på egne og på vegne af Konferenceafholderen ved at godkende betingelserne, som vises online og til download forud for at der gives adgang til Conference Manager™.

Således påhviler det ansvar, som er angivet heri i forhold til Konferencearrangøren, tillige Konferenceafholderen.

Betingelserne træder i kraft fra det tidspunkt Konferencearrangøren godkender Betingelserne online.

2 DEFINITIONER

I Betingelserne finder følgende definitioner anvendelse:

Conference Manager™: Har den i punkt 3 angivne betydning og omfatter foruden selve systemet (software, applikationer mv.) også det dertil knyttede koncept.

Foredragsholder: En person, der deltager i en konference/et arrangement på et konferencecenter i sin egenskab af foredrags-/oplægsholder

Konferencearrangør: Den person hos en Konferenceafholder, der står for planlægningen af en konference/et arrangement på et Konferencecenter

Konferenceafholder: Den virksomhed eller person, som afholder en konference/et arrangement på et Konferencecenter

Konferencecenter: Et konferencecenter, et mødelokale eller lignende fysisk lokalitet, hvor konferencearrangøren afholder sit arrangement.

Konferencedeltager: En person, der skal deltage i en konference/et arrangement, der afholdes af Konferencearrangøren på et Konferencecenter.

Placering: En endelig bestilling af en konference/et arrangement (med faciliteter, lokaler mv.) til afholdelse hos et bestemt Konferencecenter

3 CONFERENCE MANAGER™ – BESKRIVELSE OG RETTIGHEDER

Conference Manager er et online værktøj, som bl.a. stilles til rådighed via webadresserne: www.conferencemanager.dk, conferencemanager.dk, tilmeld.dk og en række andre webadresser, herunder muligvis også Konferenceafholderens egne webadresser.

Conference Manager™ giver Konferencearrangøren mulighed for at understøtte processen i forbindelse med planlægning, afholdelse og evaluering af en konference/et arrangement eller anden form for indhentning og distribution af oplysninger. Dette omfatter bl.a. invitation af Konferencedeltagere, inddeling af agenda i sideløbende spor, publicering af website for konferencen indeholdende agenda og online tilmelding, registrering af Konferencedeltagere og deres deltagelse i forskellige spor, registrering af betaling, design og udskrift af navnekort, håndtering af deltagerlister, udsendelse og indsamling af evalueringsskemaer, rapportering, forum for kommunikation mellem Konferencedeltagere, distribution af konferencemateriale, online afstemninger mv.

For at få adgang til Conference Manager™ skal Konferencearrangøren registrere sig med en gyldig og personlig e-mail adresse og skal i den forbindelse bekræfte, at betingelserne accepteres.

Konferencearrangøren skal registrere sig, når han/hun første gang vil benytte Conference Manager™ til planlægning af en konference/et arrangement.

En Konferencearrangør opretter herefter hvert konferencearrangement som en selvstændig konference/arrangement i Conference Manager™. Hvis konferencearrangøren ønsker at planlægge to konferencer/arrangementer sideløbende, skal han/hun foretage én registrering og kan efterfølgende oprette flere konferencer/arrangementer i Conference Manager™.

Ved hver oprettelse af ny konference/arrangement, eller ved tilgang til arrangementer som Konferencearrangøren tildeles rettighed til, skal Betingelserne accepteres.

4 KONFERENCEARRANGØRENS ROLLE OG ANSVAR

Konferencearrangøren er i forhold til Conference Manager™ administrator for de konferencer/arrangementer, som Konferencearrangøren opretter i Conference Manager™.

Såfremt en Konferencearrangør, uanset årsag, ikke længere har ansvaret for afvikling af en konference/et arrangementet hos Konferenceafholderen, kan Conference Manager på anmodning fra Konferenceafholderen skifte Konferencearrangør for konferencen/arrangementet i Conference Manager™. Registrering af ny Konferencearrangør kræver som angivet under punkt 3 en personlig e-mail adresse i forhold til pågældende. Som udgangspunkt er det dog altid Konferencearrangøren der selv direkte i Conference Manager™ kan tildele denne rettighed til en anden person.

Såfremt der er behov for at give en eller flere Konferencedeltagere eller en eller flere Foredragsholdere adgang til Conference Manager™ i forbindelse med en bestemt konference/arrangement, fx med henblik på at uploade/downloade materiale eller oplysninger i øvrigt, har Konferencearrangøren det fulde ansvar forbundet dermed.

Det er således alene Konferencearrangøren, der kan give pågældende adgang til Conference Manager™ i forhold til pågældende konference/arrangement. Adgang gives via et personligt login.

Konferencearrangøren har det fulde ansvar for de ændringer, Konferencedeltagere/Foredragsholdere måtte foretage i Conference Manager™ i forhold til en konference/et arrangement.

Konferencearrangøren er sammen med Konferenceafholderen ansvarlig for de oplysninger, der bliver uploadet eller downloadet via Conference Manager™, enten af Konferencearrangøren selv af Konferencedeltagere, Foredragsholdere eller øvrige, som Konferencearrangøren måtte have givet adgang til Conference Manager™ i forhold til en konference/et arrangement.

Såfremt et forum oprettes i Conference Manager™ til dialog blandt Konferencedeltagerne efter konferencen/arrangementets afholdelse, er Konferencearrangøren også ansvarlig for at administrere dette, herunder at fjerne upassende indlæg mv. via værktøjerne i Conference Manager™.

Der henvises i øvrigt til afsnittet om den information/data, Konferencearrangører, Konferencedeltagere, Foredragsholdere og øvrige gør tilgængelig for andre via Conference Manager™ i punktet Indsamling og videregivelse af information – Persondata nedenfor.

5 PRISER OG BETALINGSBETINGELSER

For Konferenceafholderens tilslutning til Conference Manager™ betaler Konferenceafholderen til Conference Manager A/S en fast månedlig ydelse. Ydelserne betales årligt forud, således at ydelsen for første år betales ved nærværende aftales indgåelse. Herudover betaler Konferenceafholderen en etableringsafgift til Conference Manager A/S.

Conference Manager A/S kan til enhver tid foretage ændringer i priserne, hvilket dog skal meddeles kunden skriftligt med tre måneders varsel. Såfremt Konferenceafholderen ikke kan acceptere en evt. prisstigning, kan Konferenceafholderen opsige aftalen ligeledes med tre måneders varsel.

Priserne reguleres hvert år den 1. januar i henhold til udviklingen i nettoprisindekset fra det seneste offentliggjorte indeks for november, dog minimum 1%. Denne regulering skal ikke varsles.

Fakturering sker via email til en emailadresse opgivet af Konferenceafholderen. Såfremt faktura skal sendes pr. brev opkræves et administrationsgebyr. Ved ændring af emailadressen er det alene Konferenceafholderens ansvar at sikre, at Conference Manager A/S er orienteret om den nye emailadresse.

Ved betaling af Conference Manager A/S’ faktura er sidste rettidige betalingsdag er 7 dage fra fakturadato. Efter sidste rettidige betalingsdag er Conference Manager A/S berettiget til at opkræve renter med en sats på 2% pr. påbegyndt måned fra forfaldsdagen til betaling sker.

Conference Manager kan i særlige tilfælde, dog alene på forudgående anmodning fra Konferenceafholderen, acceptere at udvide den rettidige betalingsdag, således at denne forlænges til 30 eller 60 dage. Såfremt der anmodes om forlængelse af den rettidige betalingsdag ud over 7 dage, hæves enhver af Conference Managers priser, uanset om denne er oplyst eller fremgår af website, prisliste, tilbud, mundtlig oplysning, email eller lignende med henholdsvis 2,25% for 30 dage samt 4,50% for 60 dage. Denne stigning gælder både for priser som er oplyst før og efter anmodningen er accepteret af Conference Manager og omfatter alle faktura udstedt med 30 eller 60 dages rettidig betaling.

Konferenceafholderen manglende betaling berettiger endvidere Conference Manager A/S til uden varsel at afbryde Konferenceafholderens adgang til Conference Manager™.

Ved genåbning af en afbrudt adgang til Conference Manager™ kræves, uanset årsagen hertil, et genåbningsgebyr i henhold til Conference Managers til enhver tid gældende listepris.

6 HJÆLP/SUPPORT

Conference Manager™ er et online selvbetjeningssystem, hvor assisterende hjælp gives af systemet selv. Skulle behov for personlig assistance opstå, skal henvendelse rettes til Conference Manager A/S. Conference Manager A/S er berettiget til at kræve betaling for medgået tid i forbindelse med hjælp/support til systemet i henhold til den til enhver tid gældende timetakst.

7 EVENTUELLE EKSTRA MODULER OG SÆRLIGE TILPASNINGER

Conference Manager A/S tilbyder særlige ekstra moduler til Conference Manager™, som hver især tilbyder ekstra funktionaliteter. Disse ekstra moduler er tilgængelige som tilvalg via Conference Manager™ mod ekstra betaling.

Såfremt Konferenceafholderen ønsker at gøre anvendelse af et eller flere af disse ekstra moduler bestilles disse direkte via Conference Manager™, hvoraf også den ekstra månedlige ydelse og evt. etableringsafgift tydeligt fremgår.

8 ÆNDRINGER, FORSTYRRELSER I DRIFTEN OG LUKNING FOR ADGANG

Konferenceafholderen og Konferencearrangøren skal være opmærksom på, at funktionerne i Conference Manager™ kan blive ændret uden varsel. Conference Manager A/S forbeholder sig retten til at ændre eller fjerne funktioner i Conference Manager™ uden forudgående varsling. Conference Manager A/S kan ikke på nogen måde holdes ansvarlig for de gener eller tab, som måtte være en følge af sådanne ændringer.

Det tilstræbes, at Conference Manager™ er tilgængelig døgnet rundt.

Der kan dog forekomme perioder, hvor adgangen til Conference Manager™ er lukket pga. opdateringer, driftsnedbrud eller lignende.

Ved driftsnedbrud eller øvrige utilsigtede forstyrrelser i driften, hvad enten sådanne skyldes forhold, som Conference Manager A/S har eller ikke har indflydelse på, vil Conference Manager A/S søge at genetablere driften hurtigst muligt. Conference Manager A/S kan ikke på nogen måde holdes ansvarlig for de gener eller tab, som måtte være en følge af sådant driftsnedbrud eller øvrige utilsigtede forstyrrelser i driften og adgangen til Conference Manager™.

Ved opdatering, udbedring eller planlagt reparation af Conference Manager™ eller øvrige programmer, systemer, software eller hardware, som måtte have indflydelse på driften af Conference Manager™, vil Conference Manager A/S tilstræbe at varsle deraf følgende forstyrrelser i driften, herunder manglende adgang til systemet via Conference Manager™, men sådan forudgående varsling er ikke garanteret, og Conference Manager A/S kan ikke holdes ansvarlig for de gener eller tab, som driftsforstyrrelserne og eventuel manglende adgang til Conference Manager™ måtte medføre.

9 PERSONOPLYSNINGER

Vilkår for behandling af personoplysninger fremgår iøvrigt af den indgåede databehandleraftale, jf. Bilag A.

10 MONITORERING

Conference Manager A/S forbeholder sig retten til at indsamle og registrere data om Konferenceafholderens og Konferencearrangørens brug af Conference Manager™.

Informationerne om brugen vil blive benyttet i forbindelse med Conference Manager A/S arbejde forbundet med udvikling og vedligeholdelse af driften af Conference Manager™. Endvidere vil Conference Manager A/S kunne benytte informationerne i andre kommercielle eller ikke kommercielle sammenhænge, herunder overdrage informationerne til tredjemand uden krav om yderligere samtykke. Informationer om navngivne/i øvrigt identificerbare personer vil dog ikke blive videregivet uden forudgående indhentelse af samtykke til sådan videregivelse fra den eller de berørte personer. Informationer der kan videregives efter denne aftale er således alene af generel og statistisk karakter og kan aldrig henføres til den enkelte Konferenceafholder og/eller enkeltpersoner.

Ved accept af disse Betingelser samtykker Konferenceafholderen og Konferencearrangøren udtrykkeligt til, at Conference Manager A/S må indsamle, registrere/lagre og benytte data som heri angivet.

Den monitorering og behandling af oplysninger, som er angivet heri, vil til enhver tid ske i overensstemmelse med den gældende lovgivning om behandling af personoplysninger.

11 LAGRING AF DATA

Informationer/data der indtastes eller på anden måde gøres tilgængelige i Conference Manager™, af enten Konferencearrangøren, Konferencedeltagere, Foredragsholdere eller øvrige, som Konferencearrangøren måtte have givet adgang til at indtaste information/data, er, set i forhold til Conference Manager A/S, at betragte som Konferenceafholderens eksklusive ejendom. Såfremt Konferencedeltagere, Foredragsholdere eller øvrige måtte have rettigheder, herunder intellektuelle rettigheder i forhold til sådan information/data, er disse rettigheder Conference Manager A/S uvedkommende, og Conference Manager A/S er berettiget til alene at henholde sig til Konferenceafholderen og Konferencearrangøren i denne sammenhæng.

Konferenceafholderen og Konferencearrangøren er forpligtede til at afklare og håndtere eventuelle rettigheder, som Konferencedeltagere, Foredragsholdere eller øvrige måtte have i forhold til informationer/data indtastet eller på anden måde gjort tilgængelige i Conference Manager™ med disse direkte, og Konferenceafholderen og Konferencearrangøren er forpligtet til at skadesløsholde og erstatte Conference Manager A/S for ethvert tab, selskabet måtte lide i forhold til sådanne rettigheder, herunder som følge af Conference Manager A/S’ sletning af sådanne informationer/data i overensstemmelse med disse Betingelser, jf. det følgende.

Conference Manager A/S lagrer de informationer/data, som er indtastet eller på anden måde gjort tilgængelige i Conference Manager™ i forhold til konferencen/arrangementet, i den periode, som er aftalt ved køb af produkter og services fra Conference Manager A/S og som fremgår af ”Mit abonnement” i Conference Manager™.

 

OBS:Ved udløbet af den aftalte opbevaringsperiode efter konferencens/arrangementets afholdelse vil adgangen til Conference Manager™ i forhold til denne konference/arrangement automatisk og øjeblikkeligt blive slettet uden yderligere varsel, og de informationer/data, der måtte være indtastet eller på anden måde gjort tilgængelig i Conference Manager™ af konferencearrangøren selv eller af andre i forhold til konference/arrangementet, vil gå tabt, idet de automatisk bliver slettet uden mulighed for genetablering.

 

Dog vil det blive tilstræbt – men ikke garanteret – at planlægningslister kan gemmes i en yderligere periode. Ønskes øvrige oplysninger gemt, skal disse kopieres/indlæses af konferencearrangøren selv fra Conference Manager™ inden udløbet af den aftalte periode.

Såfremt arrangementet annulleres slettes alle lagrede informationer/data vedrørende arrangementet uden yderligere varsel. Informationer/data kan alene udlæses fra Conference Manager™, i det omfang der stilles rapporter og lignende til rådighed i Conference Manager™ applikationen.

12 RETTIGHEDER TIL CONFERENCE MANAGER™

Conference Manager™ er udviklet og ejes af Conference Manager A/S. Som bruger af Conference Manager™ får Konferencearrangøren og Konferenceafholderen udelukkende en ikke-eksklusiv ret (licens) til at anvende Conference Manager™ og alene i overensstemmelse med disse Betingelser.

Conference Manager A/S har og bibeholder uanset Konferenceafholderens/Konferencearrangørens og øvriges brug af Conference Manager™ samtlige rettigheder, herunder immaterielle rettigheder (ophavsrettigheder mv.) og knowhow til Conference Manager™.

Enhver ændring, udvikling eller forbedring af Conference Manager™ og dermed forbundne funktioner, som foreslås eller laves af Konferenceafholderen/Konferencearrangøren, øvrige brugere af Conference Manager™ eller andre, tilfalder automatisk og uden vederlag eller modydelse Conference Manager A/S som selskabets ubetingede ejendom. Conference Manager A/S kan råde over sådanne ændringer, udvikling eller forbedringer uden krav om samtykke.

Konferencearrangøren og Konferenceafholderen må på ingen måde, hverken direkte eller indirekte, helt eller delvist, kopiere eller overdrage anvendelsen af eller adgangen til Conference Manager™ til nogen anden fysisk eller juridisk person uden forudgående skriftligt samtykke fra Conference Manager A/S.

Konferenceafholderen og Konferencearrangøren må udelukkende anvende Conference Manager™ i forbindelse med planlægning af egne konferencer/arrangementer. Konferencearrangøren må således ikke via systemet afholde arrangementer for Konferenceafholdere, der ikke hører under samme virksomhed som Konferencearrangøren.

13 OVERTRÆDELSE AF BETINGELSERNE – ERSTATNINGSANSVAR

Såfremt en Konferenceafholder eller Konferencearrangør ikke overholder disse Betingelser eller på anden måder misbruger eller forsøger at misbruge Conference Manager™, vil Conference Manager A/S være berettiget til at lukke for pågældende Konferenceafholder/Konferencearrangørs adgang til Conference Manager™, og dette i forhold til samtlige konferencer/arrangementer under planlægning eller afholdelse af pågældende Konferenceafholder/Konferencearrangør, uanset om overtrædelse af Betingelserne eller misbrug i øvrigt alene har fundet sted i forhold til en enkelt konference/et enkelt arrangement.

Såfremt overtrædelse af Betingelserne er af væsentlig eller vedvarende karakter, kan Conference Manager A/S benytte den ovenfor beskrevne mulighed til at lukke for en Konferenceafholder/Konferencearrangørs adgang til Conference Manager™ uden forudgående varsel, ophæve aftalen samt kræve sit tab og eventuelle udeståender betalt.

I øvrige tilfælde af overtrædelse af Betingelserne kan Conference Manager A/S også lukke for Konferenceafholderens/Konferencearrangørens adgang til Conference Manager™ som angivet ovenfor, dog med et forudgående skriftligt varsel på 5 hverdage. Såfremt Konferenceafholderen/Konferencearrangøren standser overtrædelsen og dokumenterer dette for Conference Manager A/S inden for varslingsperioden, og overtrædelsen er af en type, hvor Conference Manager A/S ikke lider eller ikke kan lide fortsat eller ny skade efter ophør, kan Conference Manager A/S tillade, at Konferenceafholderens/Konferencearrangørens adgang til Conference Manager™ opretholdes, men Conference Manager A/S er ikke forpligtet dertil.

Væsentlig overtrædelse af Betingelserne omfatter, men er ikke begrænset til, Konferenceafholderens/Konferencearrangørens

 

videregivelse af adgang til Conference Manager™ til tredjemand uden Conference Manager A/S’ forudgående skriftlige godkendelse,
kopiering af hele eller dele af Conference Manager™,
omprogrammering eller modificering af Conference Manager™, herunder, men ikke begrænset til, fjernelse af Conference Manager A/S’ logo, navn eller kendetegn fra tilmeldingswebsider, emails og andre dele af Conference Manager™,
benyttelse af Conference Manager™ til at sprede spam, eller på anden måde søge at forstyrre eller forhindre elektronisk kommunikation over internettet, herunder forstyrrelse eller forhindringer i forhold til Conference Manager™ og systemets drift, se blandt andet punkt 14 nedenfor,
benyttelse af Conference Manager™ til andet formål end det i punkt 11 angivne,
tiltvingelse af adgang til information/data i Conference Manager™, som er indtastet eller på anden måde gjort tilgængelig af andre brugere af Conference Manager™, og som ikke omfatter Konferencedeltagere eller Foredragsholdere, med hvem Konferenceafholderen/Konferencearrangøren har en aftale om tilladelse til sådan adgang, og
egen indtastning eller på anden måde offentliggørelse af information/data via Conference Manager™, som er åbenbart krænkende eller strafbare at offentliggøre, eller undladelse af øjeblikkeligt at fjerne sådan information/data indtastet eller offentliggjort af andre, så snart viden derom kommer til Konferenceafholderens/Konferencearrangørens kundskab.

 

Ovenstående er ikke en udtømmende opregning af situationer, hvor Betingelserne vil blive anset for væsentligt overtrådt, og i øvrigt henvises til de enkelte bestemmelser i Betingelserne, som også omhandler ansvar og overtrædelse.

Forsøg på ovennævnte handlinger og forsøg på øvrige væsentlige overtrædelser af Betingelserne vil i sig selv blive anset som væsentlig overtrædelse af Betingelserne.

14 E-MAIL POLITIK

Konferenceafholderen/Konferencearrangøren er ansvarlig for, at al e-mailkorrespondance genereret fra/via Conference Manager™, herunder fx invitationer af Konferencedeltagere og lign. Konferenceafholderen/Konferencearrangøren må ikke anvende Conference Manager™ til udsendelse af e-mail, der er i strid med Markedsføringslovens § 10 eller tilsvarende regler.

15 REFERENCE

Conference Manager er berettiget til at anvende denne aftale, såvel som Konferenceafholderens navn og logo som reference overfor enhver af sine potentielle kunder eller som led i markedsføringen af Conference Managers produkter eller services. Konferenceafholderen kan dog skriftligt anmode Conference Manager om ikke at blive benyttet som reference.

På samme måde er Konferenceafholderen berettiget til at benytte Conference Manager som reference overfor sine potentielle kunder. Conference Manager kan dog skriftligt anmode om, at Konferenceafholderen ikke benytter Conference Manager som reference.

Hverken Conference Manager eller Konferenceafholderen er berettiget til at benytte den anden part som reference efter Betingelserne ikke længere er i kraft.

16 OPSIGELSE

Nærværende Betingelser er gældende i en periode på fireogtyve måneder regnet fra ikrafttrædelsesdatoen, og denne periode er uopsigelig for begge både Konferenceafholderen/Konferencearrangøren og Conference Manager A/S.

Såfremt en af parterne ønsker at opsige Betingelserne efter udløbet af den nævnte periode skal meddelelse herom gives skriftligt til den anden part med mindst tre måneders varsel. Opsiges Betingelserne ikke, fortsættes Betingelserne fortløbende i opsigelige perioder på 12 måneder. Betingelserne kan opsiges af Konferenceafholderen/Konferencearrangøren med tre måneders varsel til udløbet af 12 måneders perioden.

Uanset ovenstående kan disse betingelser ændres med et varsel på 30 dage ved elektronisk meddelelse til Konferenceafholderen.

17 OVERDRAGELIGHED

Conference Manager A/S er berettiget til uden samtykke fra Konferenceafholderen og Konferencearrangøren at overdrage samtlige rettigheder og forpligtelser i henhold til nærværende aftale til tredjemand. Conference Manager A/S er endvidere berettiget til at lade selskabets forpligtelser i henhold til nærværende aftale udføre helt eller delvist af tredjemand.

Konferenceafholderen og Konferencearrangøren kan alene overdrage sine rettigheder og forpligtelser efter nærværende aftale til tredjemand, såfremt Konferenceafholderen eller Konferencearrangøren forinden har indhentet skriftligt samtykke fra Conference Manager A/S. Såfremt Konferenceafholderen er et interessentskab eller et selskab, anses overgang af interessentskabsandele eller overgang af over 50% af den samlede anparts- eller aktiekapital for en overdragelse, der kræver Conference Manager A/S’ samtykke.

18 ANSVARSBEGRÆNSNING

Der gøres udtrykkeligt opmærksom på, at Conference Manager A/S’ eventuelle ansvar i forhold til Conference Manager™ og systemets brug er begrænset i overensstemmelse med dette punkt 18 og de øvrige af Betingelsernes bestemmelser, som indeholder ansvarsfraskrivelser.

Conference Manager A/S garanterer ikke:

for funktionaliteten af Conference Manager™, eller for om systemet lever op til Konferenceafholderens og Konferencearrangørens forventninger og behov,
for tab eller forvanskning af informationer/data indtastet eller på anden måde gjort tilgængelige i Conference Manager™ af Konferencearrangøren, Konferencedeltagere, Foredragsholdere eller andre,
for fejl i forbindelse med videresendelse eller distribution af informationer/data indtastet eller på anden måde offentliggjort i Conference Manager™ af Konferencearrangøren, Konferencedeltagere, Foredragsholdere eller andre, herunder for uønsket videresendelse eller offentliggørelse af sådan information/data til tredjemand,
for manglende adgang til Conference Manager™ eller øvrige driftsforstyrrelser, hvad enten sådan måtte skyldes ændringer i Conference Manager™, nedbrud, opdatering eller øvrige forhold, Conference Manager A/S enten måtte have eller ikke måtte have indflydelse på,
for forstyrrelser eller ødelæggelse af software eller hardware, som måtte blive forårsaget ved brugen af Conference Manager™, herunder hverken for økonomiske tab, tab af data eller nogen anden form for tab eller udgift som følge deraf, og
i forhold til den information/data, som af Konferencearrangøren, Konferencedeltagere, Foredragsholdere eller andre indtastes eller på anden måde offentliggøres via Conference Manager™, herunder i forhold til informationer/data, som måtte være krænkende eller i strid med lovgivningen om at offentliggøre.

I øvrigt henvises til de øvrige ansvarsbegrænsninger, som er angivet i de enkelte bestemmelser i disse Betingelser. Konferenceafholderen/Konferencearrangøren er forpligtet til at friholde og skadesløsholde Conference Manager A/S for ethvert krav, som Conference Manager A/S måtte blive mødt med fra Konferencedeltagere, Foredragsholdere eller tredjemænds side, og Konferenceafholderen/Konferencearrangøren skal erstatte Conference Manager A/S ethvert tab og godtgøre enhver udgift, som nævnte måtte lide henholdsvis afholde i forbindelse med sådanne krav fra Konferencedeltagere, Foredragsholdere eller tredjemænd.

Såfremt der anlægges en sag imod Conference Manager A/S i relation til ovenstående forhold, er den enkelte Konferenceafholder/Konferencearrangør, som er ansvarlig for den eller de Konferencer, som sagen anlægges i forhold til, forpligtet til at indtræde i sagen på vegne Conference Manager A/S og skal i den forbindelse varetage Conference Manager A/S’ interesser som sagsøgt(e) i sagen.

Med respekt af ovenstående ansvarsbegrænsning kan Conference Manager A/S alene ifalde ansvar i forhold til direkte og dokumenterede tab.

19 LOVVALG OG VÆRNETING

Betingelserne er underlagt dansk ret, med undtagelse af dansk rets lovvalgsregler, og skal fortolkes i overensstemmelse dermed, ligesom enhver tvist der måtte udspringe eller relatere sig til Betingelserne og/eller brugen af Conference Manager™ skal løses efter dansk ret, med undtagelse af dansk rets lovvalgsregler.

Såfremt parterne ikke kan nå til enighed om en tvists løsning, skal enhver tvist afgøres ved de danske domstole.
